These Terms of Service ("Terms") govern your use of the RUPE Networks website (www.rupe-networks.co.uk) and the services provided by RUPE Networks ("we", "us", "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.
RUPE Networks provides network infrastructure and cyber security consultancy services, including but not limited to:
All services are subject to a separate statement of work or service agreement agreed upon prior to commencement.
All quotations provided are valid for 30 days unless otherwise stated. Fees for services will be agreed in writing prior to any work commencing. Payment terms are 30 days from the date of invoice unless otherwise agreed. We reserve the right to charge interest on overdue invoices at 8% above the Bank of England base rate.
You agree to:
All documentation, designs, and configurations produced during the delivery of our services remain our intellectual property until full payment has been received, at which point ownership transfers to the client. Our methodologies, tools, and proprietary processes remain our intellectual property at all times.
Both parties agree to maintain the confidentiality of any sensitive information disclosed during the course of our engagement. This includes, but is not limited to, network configurations, security vulnerabilities, credentials, and business-sensitive data. This obligation survives the termination of any agreement.
While we exercise reasonable skill and care in delivering our services, our total liability under any contract shall not exceed the total fees paid for the services in question. We shall not be liable for any indirect, consequential, or special losses, including but not limited to loss of profits, data, or business opportunities.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Either party may terminate a service agreement by providing 30 days' written notice. In the event of termination, the client shall pay for all work completed up to the date of termination. We reserve the right to terminate immediately if payment terms are breached.
We shall not be held liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, cyber attacks, or government actions.
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
